Terms of Service

1. Agreement to Terms
By accessing or using the Deice platform ("Service"), operated by Deice ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.
2. Description of Service
Deice is a cloud-based platform for managing aircraft deicing operations, including but not limited to: deice season planning, fluid quality management, fleet and equipment tracking, flight data integration, GPS tracking, compliance management, and reporting. The Service is provided via web applications, mobile applications, and APIs.
3. Account Registration
To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
Organization administrators are responsible for managing user access, roles, and permissions within their organization. The assignment of roles (including but not limited to Owner, Admin, Manager, Deicer, and View Only) determines the level of access each user has to the Service.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorized access to the Service, other accounts, or related systems
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble any aspect of the Service
- Use the Service to transmit malicious code, viruses, or harmful content
- Share account credentials or allow unauthorized users to access the Service
- Use the API beyond the rate limits specified in your plan or without proper API key authorization
5. Subscription & Payment
Access to the Service is provided on a subscription basis. Pricing, features, and limits vary by plan as described on our Pricing page. Subscription fees are billed in advance and are non-refundable except as required by applicable law.
We reserve the right to modify pricing with 30 days' written notice. Plan limits (including users, locations, trucks, data retention, and API rate limits) are enforced as described in your subscription agreement.
6. Data Ownership & License
You retain all rights to the data you input into the Service ("Customer Data"), including operational records, fluid checks, deice plans, and other business data. You grant us a limited license to use Customer Data solely to provide and improve the Service.
We retain all rights to the Service itself, including all software, designs, trademarks, and documentation. Nothing in these Terms grants you any right to use our intellectual property except as necessary to use the Service.
7. Data Security
We implement industry-standard security measures to protect Customer Data, including encryption in transit and at rest, role-based access controls, and audit logging. For details on how we handle your data, please review our Privacy Policy.
Enterprise plans include additional security features such as SAML SSO integration, custom data retention policies, and dedicated infrastructure options as specified in your service agreement.
8. Third-Party Integrations
The Service integrates with third-party data providers, including but not limited to AirLabs for flight schedule and ADS-B data. We are not responsible for the accuracy, availability, or reliability of third-party data. Third-party integrations are subject to their own terms of service and data usage policies.
9. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. Enterprise customers may have specific uptime SLAs as defined in their service agreements.
We are not liable for any downtime, data loss, or service disruption caused by factors beyond our reasonable control, including but not limited to internet outages, natural disasters, or third-party service failures.
10. Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
The Service is a management and record-keeping tool. It does not replace professional judgment, regulatory compliance obligations, or safety procedures. Users remain solely responsible for all operational decisions related to aircraft deicing.
11. Termination
Either party may terminate the subscription with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms or engage in conduct that we reasonably determine is harmful to the Service or other users.
Upon termination, your right to use the Service ceases. We will make your Customer Data available for export for a period of 30 days following termination, after which it may be deleted in accordance with our data retention policies.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the federal or state courts located in Delaware.
